  2. 1.1. Program Terms and Conditions are a legal and binding agreement

    1.1.1 The terms of this program (hereinafter — Program) apply exclusively to the Business partner of the Company, as confirmed by the relevant binding agreement between the Business partner and the BIXMON MANAGEMENT LTD, registration number HE401952, with registered address at 15 Nafpliou Street, 2nd Floor, 3025 Limassol, Cyprus. (hereinafter — the Company).

    1.1.2 Program defines the registration procedure, accounting and calculating of bonus rewards for selling of products and services (hereinafter — Goods) under the terms of the Program and, in accordance with the Online Platform Terms and Conditions, governs your engagement in such a program, constituting a binding contractual agreement between you (hereinafter referred to as a Business partner, you or your) and the Company.

    1.1.3 For this reason, these Program terms are important, so please ensure that your read them carefully and contact us if you have questions prior to becoming a Business partner of the Company.

    1.2. Acknowledgements

    1.2.1 Before joining the Program, you acknowledge and affirm that you have had enough time to read and understand the Program terms and conditions and you agree to be bound by them.

    1.2.2 Under the Program, you confirm that the purchases are made for business purposes, and accordingly you agree and acknowledge that all supplies of goods and services from the Seller are acquired/will be acquired by you for business purposes, which implies cooperation between you and the Company in the field of Business partnership.

     

  3. GENERAL PROVISIONS OF THE PROGRAM
  4. 2.1. General information

    This Program enables you to generate income in exchange for promoting and stimulating sales of Goods under the Cooperation Agreement.

    2.2. Acceptance of the Program terms and conditions

    Acceptance of the Program terms and conditions allows you to participate in the Program and possibility to receive remuneration (rewards) for the successful marketing of goods and services offered on the Online Platform.

     

  5. DEFINITIONS, INTERPRETATION AND PURPOSE
  6. 3.1 Purpose

    3.1.1 The Program enables the Business partner to receive remuneration (rewards) for the promotion and selling of Goods.

    3.1.2 Purchases registered under the Program are recorded according to the purchase order structure within the Company internal system. Each Business partner has a unique identification number to track purchases within the Program, as well as purchases of new clients initiated by the Business partner.

    3.1.3 The purpose of the Program is two-fold:

    • for the Company: to expand its Business partners network, expansion of markets for products and services provided by the Online Platform;
    • for Business partners: to receive remuneration in the form of rewards intended for purchases of the products and services of the Sellers by the clients on the recommendation of the Business partner, including for expanding the client base of the goods and services of the Sellers.

    3.2. Definitions included in this document

    The terms defined in this document shall have the following meaning, as specified herein:

    Business partner means a person who has accepted terms and conditions of the Cooperation  agreement with the Company, and according to which the person agrees to promote and stimulate sales of Goods in exchange for a bonus reward.

    Cooperation Agreement means an agreement which determines contractual relationship between the Company and the Business partner by setting out the appointment, rights, obligations and responsibility of the Parties as well as terms and conditions in regard to products and services offered on the Online Platform for selling.

    Business partner Account — a part of the Internal Account and is an electronic record that displays the turnover of the Business partner’s funds within the framework of cooperation with the Company.

    Approval Policy — a policy that covers the Know Your Client procedure (abbreviated as KYC), which means that the Company identifies the Business partner and runs a background check before your appointment as a Business partner, and also verifies that the actions of the Business partner comply with the provisions of the current rules of the Company, governing the rights and obligations of the parties.

    Internal Account — a set of tools and information displayed Business partner activity.

    Online Platform shall mean a communication and information tool (available on the website — www.gig-os.com) aimed at effective interaction in the field of gold purchase and sale, the possibility of online deals, analysis of the precious metals market, financial education, mutually beneficial cooperation in the field of increasing sales.

    Leader — Business partner who has fulfilled the qualification requirements for crediting Leader's remuneration (reward units).

    Subscription means a right to receive a certain set of services (advantages) on the Online Platform after Digital Activation Code has been used by the client.

    Digital activation code (or DAC) means an electronic code that activates Online Platform Subscription.

    Investment gold bars (or Gold) — high-grade gold in the form of gold bullion, with the fineness of no less than 995.0/1000.

    Rewards (or bonuses, Reward units): remuneration credited to the Business partner for the successful promotion of the Goods.

    Business partner identification number (or UID) means unique identification number issued by the Company to the Business partner as token of acceptance of his application for Business partnership.

    Sponsor (Sponsor’s communication): Business partner, who already initiated a new purchase on the Online Platform and the communication of such with the new buyer.

    Structure of buyers: buyers communication system based on the initiation of purchases under a Sponsor.

    Registered (initiated) purchases: recommendations of the Company's partners products and services made by the Business partner to potential buyers, as a result of which purchases are made by them.

    Business Cluster: accounting system for acquired and activated Subscription, representing a set of cells that display purchases. The Business Cluster structure depends on the type of Subscription purchased by the Business partner.

    Leadership remuneration: additional remuneration in form of reward units credited to the Business partner for successful promotion of the Goods.

    Cycle of the purchase: the purchase, which has passed (completed) one Business cluster.

    3.3. Interpretation of the Program included in this document

    3.3.1 Headings: clauses and other headings are for ease of reference only and do not affect interpretation of the Program terms.

    3.3.2 Plural and Singular: singular words include the plural forms and vice versa.

    3.3.3 Statutes and Regulations: the reference to any statutory provision includes any statutory provision, which amends or replaces it, and any subordinate legislation arising from it.

    3.4. Main Conditions of the Program

    3.4.1 Participation in the Program is not obligatory for the purchase of Goods on the Online Platform.

    3.4.2 In order to participate in the Program you need to:

    1. Be at least 18 years old;

    2. Go through the KYC procedure and provide the documents confirming your identity (passport/ID card) and your residence;

    3. Read, understand and accept the Program, Online Platform terms & conditions, Data Protection Policy and terms of the Cooperation Agreement.

    3.4.3 Every Subscription purchase must pass (complete) the required number of Cycles as set out in the chosen Subscription type. In order for the Business partner to fulfil qualification requirements of the Business cluster type and be eligible to receive reward through the corresponding Program, the Business partner must initiate at least two purchases made by different new buyers, who, when paying for the Subscription, refer to the Business partner’s identification number.

    3.4.4 If, upon completion of the Cycle, the buyer continues placing Subscription purchases of the same type of Business cluster without transitioning to another Business cluster type, the previous qualification requirement remains valid.

    3.4.5 The Business partner assumes all responsibility for any taxes payable, including tax on income derived from participation in the Program or any duties incurred by the Business partner in connection with participation in the Program.

    3.4.6. The Company undertakes to make a payment of the invoice issued by the Business Partner for the provided services, within 30 days after the relevant invoice of the Business Partner has been accepted by the Company as payable.

     

    3.5. Options of the Program

    3.5.1 Business partner can activate multiple Subscriptions, more than one of each type, in the framework of the Program.

    3.5.2 For Business partners who already have other types of Subscriptions, the Business partner identification number remains the same, and all Sponsor’s Communications are retained.

    3.5.3 The Business partner earns remuneration in form of Reward units for completion of the requirements prescribed for each Subscription in the corresponding clauses.  

     

    3.6. Terms of Leadership remuneration

    3.6.1 The Business partner earns additional Leadership remuneration in form of Reward units by entering Leadership program; this occurs upon meeting the following conditions:

    1. purchase any type of Subscription;

    2. confirm intention to participate in the Leadership program;

    3. at least three purchases of the Subscriptions have been made by new buyers, who have indicated the Business partner as their Sponsor and have become Business partners of the Company;

    4. accumulate at least 50 Leadership units.

    When these conditions are met, the Business partner’s purchase moves to the first level of Leadership remuneration.

    3.6.2 Leadership remuneration consists of 15 levels:

    3.6.3 For the Leader to transfer to the next level of Leadership remuneration, a certain amount of Leadership units specified in the table must be accrued, and the minimum amount of bonuses required to transfer to each of the levels must be received.

     

    Important: the transfer is executed upon meeting two qualification conditions:

     

    i. The required amount of Leadership units has been accrued.

    ii. The amount of Leadership remuneration corresponding to the requirements of transfer to the next level has been accrued.

     

    In case the maximum amount of Leadership units corresponding to the current level has been reached before the amount of Leadership remuneration required to transfer to the next level has been credited, the Leadership units in excess of that maximum amount will be awarded.

     

    3.6.4 Leadership remuneration level increases when Business partners, whose purchases are initiated through the Leader’s recommendation, earn their bonus remuneration (Reward units).

    3.6.5 Leadership units are calculated using the following formula:


    The sum of each Subscription purchased or investment gold bars bought by a clients in the Leader's structure is divided by a constant of 700.

     

    Example: 875/700 = 1.25 LU (Leadership units).

    3.6.6 At every level, a Leadership unit has its own cost, namely the Leadership Unit Cost (LUC). It is used to calculate Leadership remuneration.

    3.6.7 Leadership remuneration is credited to the Leaders using the following formula:

    The sum of each purchase of Subscription or investment gold bars bought by a client who has no  active Subscriptions in the Leader's structure is divided by a constant of 700, multiplied by the difference in the Leader LUC levels, and multiplied by a variable:

    • Variable for the Subscription purchases is 4 (four).
    • Variable for the investment gold bars purchases is 1 (one).

    Example:

    The Leader has reached the first level of the Leadership remuneration.
    Downline of the Leader has bought a Subscription with cost of 875 Euro.
    Variable for the Subscription purchases is 4 (four).

    Calculations: 875/700 = 1.25 LU x 5 (difference in LUC) = 6.25 x 4 = 25 Reward units. 

    3.6.8 The Business partner, on the basis of accrued Reward units, issues and submits to the Company through its Business partner Account the invoice for marketing and promotion services according to the Cooperation agreement.

    3.6.9 In case the Company accepts the invoice provided by the Business partner, it may be paid (covered) by the Company in the way chosen by the Business partner. The invoice may also be paid (covered) by gift card for investment gold bars buying.

    3.6.10 If the Business partner accrues the amount of Leadership units required to transfer to the next level, but does not meet the transfer qualification conditions according to clause 3.6.3 and one of his or her direct invitees, registered in the structure, is on the same level of Leadership program, the remuneration, in the form of Leadership remuneration, for the purchases within such invitee’s structure is not credited to the Business partner’s account. The Leadership units are credited according to the standard calculations.

  7. SMART BUSINESS CLUSTER RULES AND REGULATIONS
  8. 4.1. General information

    4.1.1 The Smart Business cluster is designated for the Business partners who have purchased a Subscription Smart and wish to receive remuneration under conditions of the Program. The Smart Business cluster can serve as a basis for participation in the Pro Business cluster. Smart Business cluster may also be used independently of other Business clusters.

    4.1.2 Upon completion of the first or the second section of the Smart Business cluster, having made a prior choice, the Buyer can participate in the Pro Business cluster or continue with the Smart Business cluster. The choice must comply with requirements of the provisions stipulated in the Smart and/or Pro Business cluster Terms and Conditions.

    4.1.3 The Business partner can have more than one Smart Subscription registered at a time. Upon full completion of the Smart Business cluster, the buyer can extend the participation in the Business cluster of the same type. 

    4.2. How purchases are registered in the Smart Business cluster

    4.2.1 The Subscription Smart purchase registering system consists of Business clusters of purchases that can be completed in one cycle.

    4.2.2 The Smart Business cluster consists of three levels and includes seven registered purchases of the Subscriptions of the buyers. The levels are arranged from top to bottom.

    Level 1 4 purchases
    Level 2 2 purchases
    Level 3 1 purchase

    4.2.3 The first level of the Smart Business cluster is divided into two sections. Each section of the Smart Business cluster is comprised of two cells for placing purchases, arranged from left to right. The sections are placed on the left and the right sides of the Business cluster and are separated by borderlines.

    4.2.4 Purchases are registered and displayed in the Business cluster from left to right, taking into account recommendations made by the Business partner.

    4.2.5 All new purchases are displayed on the first level of the Business cluster.

    4.2.6 Upon completion of both sections of the first level of the Business cluster, the Business cluster  is divided into two symmetrical Business clusters, and the buyer’s purchase moves to the second level. Thus, four vacant cells appear in each Business cluster for registration and display of new purchases of the buyers.

    4.2.7 Upon completion of both sections of the first level of the Business cluster, the Business cluster  is divided into two symmetrical Business clusters, and the buyer’s purchase moves to the third level. Thus, four vacant cells appear in each Business cluster for registration and display of new purchases of the buyers.

    4.2.8 Following the next Business cluster split, the buyer’s purchase exits the Business cluster and the Cycle is considered complete.

    4.3. Smart Business cluster rules

    4.3.1 When the buyer purchases the Subscription Smart, it is registered and displayed in the sponsor's Business cluster.

    4.3.2 To receive the Business partner’s remuneration, the Business partner’s registered purchase must pass through three levels of one cycle of the Business cluster in accordance with the structure of registration of purchases initiated by the Business partner, and at least two new Subscriptions must be activated by new clients as recommended by the Business partner.

    4.3.3 In the Smart Business cluster the Business partner can select an option “Start a new Business cluster upon closing a section”. This option allows the Business partner to start a separate 3-level Business cluster after moving to the second level and filling the section above the purchase.

    Thus, the registered purchase of the Subscription Smart located on the second level of the general Smart Business cluster will appear simultaneously on the third level of the separate private Smart Business cluster, and the Business partner can receive a reward without having to wait for the transition to the third level in the general Business cluster.

    4.4. Smart Business cluster qualification for rewards

    The minimum qualification requirements for getting Reward units within a Smart Business cluster:

    4.4.1 The Business partner must initiate purchases of at least two Subscriptions of any kind, activated by at least two new clients. Such purchases will be taken into account for all the subsequent cycles of Smart Business clusters.

    4.4.2 To receive the Reward, a registered Business partner’s Subscription Smart purchase must reach the third level of the Smart Business cluster. Reward units are credited to the Business partner Account upon completion of the first section, which includes two purchases, and the second section (cycle completion), which includes two purchases, on the first level of the Business cluster.

    4.4.3 If Business partner’s registered purchase of Subscription Smart passes the cycle of the Business cluster without the Business partner having initiated two or more Subscription purchases from downlines, the registered purchase of Subscription Smart is removed from the Business cluster.

    4.5. Smart Business cluster remuneration

    4.5.1 In the Smart Business cluster, the Reward units are credited to the Business partner Account upon completion of the first and the second sections.

    4.5.2 Upon completion of the first section consisting of two initiated purchases, the Business partner  receives a reward in the amount of 300 Reward units.

    4.5.3 Upon completion of the second section consisting of two initiated purchases, the Business partner receives a reward in the amount of 300 Reward units.

    4.5.4 Order of section closing does not affect the amount of Reward units.

    4.5.5 Before completion of the first section, the buyer may instruct the Company on further actions:

    1. to buy a Subscription Pro in advance of crediting the reward to the Internal Account and register the Subscription Pro in the Pro Business cluster, as well as to continue participation in the Smart Business cluster; or

    2. to continue participation only in the Smart Business cluster.

    4.5.6 Before completion of the second section, the buyer may instruct the Company on further actions:

    1. to continue participation only in the Smart Business cluster in advance of crediting the reward to the Internal Account;

    2. to cease participation in the Smart Business cluster; or

    3. to buy a Subscription Pro in advance of crediting the Reward to the Business partner Account.

    4.5.7 Upon the Reward being credited to the Business partner Account, the Business partner, on the basis of accrued Reward units, issues and submits to the Company through its Business partner Account the invoice for marketing and promotion services according to the Cooperation agreement.

    4.5.8 In case the Company accepts the invoice provided by the Business partners, it may be paid (covered) by the Company in the way chosen by the Business partner. The invoice may also be paid (covered) by gift card for investment gold bars buying.

    4.5.9 If the Business partner already has registered purchase of Subscription Pro in the Pro Business cluster, upon completion of the Smart cycle, the Business partner can continue with subsequent cycles of the Smart Business cluster with a payment of 235 euro.

    4.6. Smart Business cluster Sponsor change

    4.6.1 Change of Sponsor can be made within 14 days after registration on the Online Platform. Change of Sponsor in the Smart Business cluster can be executed if the Business partner does not have Subscriptions of any other type activated more than 14 days ago.

    4.6.2 Moving to another Business cluster or another section upon change of Sponsor to complete a section or a Business cluster is prohibited.

    4.7. Leadership remuneration within Smart Business cluster

    4.7.1 Registered purchase of Subscription Smart allows additional remuneration in the form of Leadership  remuneration for the qualified Business partners (section 3.6.1.).

    4.7.2 Leadership remuneration is calculated as follows:

    The sum of each purchase of Subscription or investment gold bars bought by a client who has no active Subscriptions of any type in the Leader's structure is divided by a constant of 700, multiplied by the difference in their value of LUC levels and multiplied by a variable:

     

    Variable for the Subscription purchases is 4 (four).

    Variable for the investment gold bars purchases is 1 (one).

    4.7.3 Conditions for Leadership remuneration are described in section 3.6.

    4.8. The right to cancel a purchase of the Subscription Smart after its registration

    4.8.1 Purchase of the Subscription Smart can be cancelled within 14 calendar days from the date of its registration on the Online Platform.

     

  9. PRO BUSINESS CLUSTER RULES AND REGULATIONS
  10. 5.1. General information

    5.1.1 The Pro Business cluster is designated for the Business partners who have purchased a Subscription Pro and wish to receive a reward under conditions of the Program. The Pro Business cluster can serve as a basis for participation in the Accord Business cluster. Pro Business cluster may also be used independently of other Business clusters. 

    5.1.2 The Business partner can have more than one Pro Subscription registered at a time. Upon full completion of the Pro Business cluster, the buyer can extend the participation in the Business cluster of the same type.

    5.2. How purchases are registered in the Pro Business cluster

    5.2.1 The Subscription Pro purchase registering system consists of the Business clusters of purchases that can be completed in one cycle.

    5.2.2 The Pro Business cluster consists of three levels and includes 13 registered purchases of the Subscriptions of the buyers. The levels are arranged from top to bottom.

    Level 1 9 purchases
    Level 2 3 purchases
    Level 3 1 purchase

    5.2.3 The first level of the Pro Business cluster  is divided into three sections. Each section of the Pro Business cluster is comprised of three cells for placing purchases, arranged from left to right. The sections are separated by borderlines.

    5.2.4 Purchases are registered and displayed in the Business cluster from left to right, taking into account recommendations made by Business partner.

    5.2.5 All new purchases are displayed on the first level of the Business cluster.

    5.2.6 Upon completion of three sections of the first level of the Business cluster, the Business cluster  is divided into three symmetrical Business clusters, and the buyer’s purchase moves to the second level. Thus, 9 new vacant cells appear in each Business cluster for registration and display of new purchases of the buyers.

    5.2.7 Upon completion of three sections of the first level of the Business cluster, the Business cluster  is divided into three symmetrical Business clusters, and the buyer’s purchase moves to the third level. Thus, 9 new vacant cells appear in each Business cluster for registration and display of new purchases of the buyers.

    5.2.8 Following the next Business cluster split, the buyer’s purchase exits the Business cluster and the cycle is considered complete, which means the Business cluster is considered complete also.

    5.3. Pro Business cluster rules

    5.3.1 When the buyer purchases the Subscription Pro, it is registered and displayed in the Sponsor's Business cluster.

    5.3.2 In order to receive the Business partner’s remuneration, the Business partner’s registered purchase of the Subscription Pro must go through three levels of one cycle of the Business cluster in accordance with the structure of registration of purchases initiated by the Business partner, and at least two new Subscriptions must be activated by new clients as recommended by the Business partner.

    5.3.3 In the Pro Business cluster, the Business partner can select an option “Start a new Business cluster upon closing a section”. This option allows the Business partner to start a separate 3-level Business cluster after moving to the second level and filling the section above the Business partner’s purchase.

    Thus, the registered purchase of Subscription Pro on the second level of the general Pro Business cluster will appear simultaneously on the third level of the separate private Pro Business cluster, and the Business partner can receive remuneration, without having to wait for the transition to the third level of the general Business cluster.

    5.4. Pro Business cluster qualification for rewards

    The minimum qualification requirements for getting Reward units in the Pro Business cluster:

    5.4.1 The Business partner must initiate purchases of at least two Subscriptions of any kind, activated by at least two new clients. Such purchases will be taken into account for all the subsequent cycles of Pro Business clusters.

    5.4.2 To receive the reward, a registered Business partner’s Subscription Pro purchase must reach the third level of the Pro Business cluster. Reward units are credited to the Business partner Account upon completion of the first section, which includes three purchases, the second section and the third section (cycle completion), which also includes three purchases each on the first level of the Business cluster.

    5.4.3 If the registered Business partner’s purchase of Subscription Pro passes the cycle of the Business cluster without the Business partner having initiated two or more Subscription purchases from downlines, the registered purchase of Subscription Pro is removed from the Business cluster.

    5.5. Pro Business cluster remuneration

    5.5.1 In the Pro Business cluster, the Reward units are credited to the Business partner Account upon completion of the first, the second and the third sections.

    5.5.2 Upon completion of the first section consisting of three initiated purchases, the Business partner  receives remuneration in the amount of 750 Reward units.

    5.5.3 Upon completion of the second section consisting of three initiated purchases, the Business partner receives remuneration in the amount of 750 Reward units.

    5.5.4 Upon completion of the third section consisting of three initiated purchases, the Business partner  receives remuneration in the amount of 750 Reward units.

    5.5.5 Order of section closing does not affect the amount of Reward units.

    5.5.6 Upon the Reward being credited to the Business partner Account, the Business partner, on the basis of accrued Reward units, issues and submits to the Company through its Business partner Account the invoice for marketing and promotion services according to the Cooperation agreement.

    5.5.7 In case the Company accepts the invoice provided by the Business partners, it may be paid (covered) by the Company in the way chosen by the Business partner. The invoice may also be paid (covered) by gift card for investment gold bars buying.

    5.5.8 Before completion of the second section of the Business cluster, the Buyer may instruct the Company on further actions:

    1. to continue participation only in the Pro Business cluster in advance of crediting the reward to the Business partner Account;

    2. to cease participation in the Pro Business cluster.

    3. to buy a Subscription Accord in advance of crediting the Reward to the Business partner Account.

    5.5.9 Upon the Reward being credited to the Business partner Account, the Business partner, on the basis of accrued Reward units, issues and submits to the Company through its Business partner Account the invoice for marketing and promotion services according to the Cooperation agreement.

    5.5.10 In case the Company accepts the invoice provided by the Business partners, it may be paid (covered) by the Company in the way chosen by the Business partner. The invoice may also be paid (covered) by gift card for investment gold bars buying.

    5.5.11 If the Business partner already has registered purchase of Subscription Accord in the Accord Business cluster, upon completion of the Pro cycle, the Business partner can continue with subsequent cycles of the Pro Business cluster with a payment of 385 euro.

    5.6. Pro Business cluster Sponsor change

    5.6.1 Change of Sponsor can be made within 14 days after registration on the Online Platform. Change of Sponsor in the Pro Business cluster can be executed if the Business partner does not have Subscriptions of any other type activated more than 14 days ago.

    5.6.2 Moving to another Business cluster or another section upon change of Sponsor to complete a section or a Business cluster is prohibited.

    5.7. Leadership remuneration within Pro Business cluster

    5.7.1 Registered purchase of Subscription Pro allows additional remuneration in the form of Leadership  remuneration for the qualified Business partner (see 3.6.1.).

    5.7.2 Leadership remuneration is calculated as follows:

    The sum of each purchase of Subscription or investment gold bars bought by a client who has no active Subscription in the Leader's structure is divided by a constant of 700, multiplied by the difference in their values of LUC levels and multiplied by variable:

    Variable for the Subscription purchases is 4 (four).

    Variable for the investment gold bars purchases is 1 (one).

    5.7.3 Conditions for Leadership remuneration are described in Section 3.6.

    5.8. The right to cancel a purchase of the Subscription Pro after its registration

    Purchase of the Subscription Pro can be cancelled within 14 calendar days from the date of its registration on the Online Platform.

  11. ACCORD BUSINESS CLUSTER RULES AND REGULATIONS
  12. 6.1. General information

    6.1.1 The Accord Business cluster is designated for the Business partners who have purchased a Subscription Accord and wish to receive a reward under conditions of the Program. The Accord Business cluster can serve as a basis for participation in the Accord Business cluster. Such a Business cluster may also be used independently of other Business clusters. 

    6.1.2 The Business partner can have more than one Accord Subscription registered at a time. Upon full completion of the Accord Business cluster, the buyer can extend the participation in the Business cluster of the same type.

    6.2. How purchases are registered in the Accord Business cluster

    6.2.1 The Subscription Accord purchase registering system consists of Business clusters of purchases that can be completed in one cycle.

    6.2.2 The Accord Business cluster consists of three levels and includes seven registered purchases of the Subscriptions of the buyers. The levels are arranged from top to bottom.

    Level 1 4 purchases
    Level 2 2 purchases
    Level 3 1 purchase

    6.2.3 The first level of the Accord Business cluster is divided into two sections. Each section of the Accord Business cluster is comprised of two cells for placing purchases, arranged from left to right. The sections are placed on the left and the right sides of the Business cluster and are separated by borderlines.

    6.2.4 Purchases are registered and displayed in the Business cluster from left to right, taking into account recommendations made by Business partners.

    6.2.5 All new purchases are displayed on the first level of the Business cluster.

    6.2.6 Upon completion of both sections of the first level of the Business cluster, the Business cluster  is divided into two symmetrical Business clusters, and the buyer’s purchase moves to the second level. Thus, four vacant cells appear in each Business cluster for registration and display of new purchases of the buyers.

    6.2.7 Upon completion of both sections of the first level of the Business cluster, the Business cluster  is divided into two symmetrical Business clusters, and the buyer’s purchase moves to the third level. Thus, four vacant cells appear in each Business cluster for registration and display of new purchases of the buyers.

    6.2.8 Following the next Business cluster split, the buyer’s purchase exits the Business cluster and the Cycle is considered complete.

    6.3. Accord Business cluster rules

    6.3.1 When the buyer purchases the Subscription Accord, it is registered and displayed in the Sponsor's Business cluster.

    6.3.2 To receive the Business partner’s remuneration, the Business partner’s registered purchase must pass through three levels of one cycle of the Business cluster in accordance with the structure of registration of purchases initiated by the Business partner, and at least two new Subscriptions must be activated by new clients as recommended by the Business partner.

    6.3.3 In the Accord Business cluster the Business partner can select an option “Start a new Business cluster upon closing a section”. This option allows the Business partner to start a separate 3-level Business cluster after moving to the second level and filling the section above the purchase.

    Thus, the registered purchase of the Subscription Accord located on the second level of the general Accord Business cluster will appear simultaneously on the third level of the separate private Accord Business cluster, and the Business partner can receive a reward without having to wait for the transition to the third level in the general Business cluster.

    6.3.4 When the buyer purchases the Subscription Accord, he/she gains access to the Structure direction tool, using which the Business Partner can assign direction of movement of the Subscriptions, activated in any type of the Business clusters according to his/her recommendation, by passing the standard system settings.

    6.4. Accord Business cluster qualification for rewards

    The minimum qualification requirements for getting Reward units within an Accord Business cluster:

    6.4.1 The Business partner must initiate purchases of at least two Subscriptions of any kind, activated by at least two new clients. Such purchases will be taken into account for all the subsequent cycles of Accord Business clusters.

    6.4.2 To receive the Reward, a registered Business partner’s Subscription Accord purchase must reach the third level of the Accord Business cluster. Reward units are credited to the Business partner Account upon completion of the first section, which includes two purchases, and the second section (cycle completion), which includes two purchases, on the first level of the Business cluster.

    6.4.3 If Business partner’s registered purchase of Subscription Accord passes the cycle of the Business cluster without the Business partner having initiated two or more Subscription purchases from downlines, the registered purchase of Subscription Accord is removed from the Business cluster.

    6.5. Accord Business cluster remuneration

    6.5.1 In the Accord Business cluster, the Reward units are credited to the Business partner Account upon completion of the first and the second sections.

    6.5.2 Upon completion of the first section consisting of two initiated purchases, the Business partner  receives a Reward in the amount of 650 Reward units.

    6.5.3 Upon completion of the second section consisting of two initiated purchases, the Business partner receives a Reward in the amount of 650 Reward units.

    6.5.4 Order of section closing does not affect the amount of Reward units.

    6.5.5 Upon the Reward being credited to the Business partner Account, the Business partner, on the basis of accrued Reward units, issues and submits to the Company through its Business partner Account the invoice for marketing and promotion services according to the Cooperation agreement.

    6.5.6 In case the Company accepts the invoice provided by the Business partners, it may be paid (covered) by the Company in the way chosen by the Business partner. The invoice may also be paid (covered) by gift card for investment gold bars buying.

    6.5.7 Before completion of the second section of the Business cluster, the Buyer may instruct the Company on further actions:

    1. to continue participation only in the Accord Business cluster in advance of crediting the Reward to the Internal Account;

    2. to cease participation in the Accord Business cluster.

    6.6. Accord Business cluster Sponsor change

    6.6.1 Change of Sponsor can be made within 14 days after registration on the Online Platform. Change of Sponsor in the Accord Business cluster can be executed if the Business partner does not have Subscriptions of any other type activated more than 14 days ago.

    6.6.2 Moving to another Business cluster or another section upon change of Sponsor to complete a section or a Business cluster is prohibited.

    6.7. Leadership remuneration within Accord Business cluster

    6.7.1 Registered purchase of Subscription Accord allows additional remuneration in the form of Leadership  remuneration for the qualified Business partners (section 3.6.1.).

    6.7.2 Leadership remuneration is calculated as follows:

    The sum of each purchase of Subscription or investment gold bars bought by a client who has no active Subscriptions of any type in the Leader's structure is divided by a constant of 700, multiplied by the difference in their value of LUC levels and multiplied by a variable:

    Variable for the Subscription purchases is 4 (four).

    Variable for the investment gold bars purchases is 1 (one).

    6.7.3 Conditions for Leadership remuneration are described in section 3.6.

    6.8. The right to cancel a purchase of the Subscription Accord after its registration

    6.8.1 Purchase of the Subscription Accord can be cancelled within 14 calendar days from the date of its registration on the Online Platform.

  13. LINE BUSINESS CLUSTER RULES AND REGULATIONS
  14. 7.1.General information

    7.1.1 The Line Business cluster is designated for the Business partners who have purchased a Subscription Line and wish to receive a Reward under conditions of the Program. Such a Business cluster may be used independently of other Business clusters.

    7.4. Line Business cluster qualification for rewards

    7.5.5 Upon the Reward being credited to the Business partner Account, the Business partner, on the basis of accrued Reward units, issues and submits to the Company through its Business partner Account the invoice for marketing and promotion services according to the Cooperation agreement.

  15. GENERAL PROVISIONS
  16. 8.1. Material terms

    8.1.1 The present Program supersedes all prior agreements, whether oral or written, with regard to the subject of the Program.

    8.1.2 If any of the provisions of the Program becomes invalid, it must be replaced with another legally valid provision, which corresponds as much as possible to the intended result and the economic purpose of the invalid provision.

    In case any provision of the Program is invalid, the legal efficacy of the remaining provisions shall not be abridged.

    8.1.3 Obligations under the Program may not be transferred to third parties.

    8.1.4 We reserve the right to make changes in the Program without prior notice.

    8.1.5 Providing information about the Company to persons other than clients is a closely monitored matter. The Company considers providing accurate, legally compliant material as a key element of your right to participate in the Program. Accordingly, if it is discovered that you provide inaccurate information, the Company reserves the right to temporarily suspend your account until the end of the investigation.

    8.2 Passage of risk

    Legal and beneficial ownership of the Goods remains with the Seller until payment for the goods and services is made in full.

    8.3 Severability

    If any provision of the Program is declared by any judicial or other competent authority to be void, controversial, illegal or otherwise unenforceable, the parties must amend that provision in such reasonable manner that achieves the intention of the parties and cures the defect, otherwise this provision will be severed from the Program, with the remaining provisions of the Program remaining in full force and effect, unless the Company decides that the effect of such severance is to defeat the original intention of the parties, in which event the Company will be entitled to terminate this Program by 30 days’ notice to the Business partner .

    8.4 Successors and assigns

    This Program will be binding on, and inure to the benefit of, the Parties and their successors and permitted assigns.

    8.5 Force Majeure

    8.5.1 The Parties shall be released from the responsibility for the complete or partial failure to perform their obligations under this Program if such failure was the consequence of the force majeure circumstances occurring after execution of this Program as a result of extraordinary events, which the Parties could neither foresee nor prevent using reasonable efforts.

    8.5.2 Shall such an event occur:

    A. If either of the Parties is unable to perform its obligations completely or partially under the circumstances defined in section 8.5.1 of this Program, the term of fulfillment of obligations under this Program shall be extended for the period equal to the period during which such circumstances exist.

    B. If the circumstances defined in section 8.5.1 of this Program last more than three months, either of the Parties shall be entitled to terminate the Program and, in this case, neither of the Parties shall be liable for the reimbursement of losses related to such termination.

    8.5.3 The Party, for whom it becomes impossible to fulfill its obligations due to the circumstances defined in section 8.5.1 of the present Program, must immediately notify the other Party of the occurrence of such circumstances, indicating the nature of the circumstances and their effect on the possibility to fulfill the contractual obligations.

    8.6. Acceptance of the Program terms and conditions

    8.6.1 The Program terms and conditions shall enter into force and shall be binding on the Parties from the moment when you confirm the Program terms and conditions electronically, that is by marking “I agree” with the Program terms and conditions.

    8.6.2 The Program terms and conditions are concluded to ensure obligations fulfillment by the Parties.
